Terms of Use

Last Updated: August 31, 2026

Please read these Terms of Use carefully before using Zen Prep. By accessing or using Zen Prep through our website or mobile applications, you agree to be bound by these Terms of Use. These Terms form a legally binding agreement between you and Zen Prep.

If you are under 18 years of age, please review these Terms with your parent or legal guardian and ask them about anything you do not understand.

IMPORTANT NOTICE FOR USERS IN THE UNITED STATES: THESE TERMS CONTAIN A BINDING INDIVIDUAL ARBITRATION AGREEMENT, A CLASS ACTION WAIVER, A JURY TRIAL WAIVER, AND A ONE-YEAR CONTRACTUAL LIMITATION PERIOD FOR CLAIMS. PLEASE REVIEW SECTION 19 CAREFULLY.

1. Who We Are and How These Terms Apply

These Terms of Use (“Terms”) govern your access to and use of Zen Prep mobile applications, the Zen Prep website, and all related content, features, subscriptions, products, and services (collectively, the “Services”).

In these Terms, “Zen Prep,” “we,” “us,” and “our” refer to the provider of the Services identified in Section 22 below. “You” and “your” refer to the individual using the Services.

By downloading, installing, accessing, purchasing, subscribing to, or using the Services, you acknowledge that these Terms have been made available to you, that you have had an opportunity to review them, and that you agree to be legally bound by them.

Where applicable law requires affirmative acceptance or specific disclosure of particular terms, those requirements apply.

2. The Services

Zen Prep provides independent digital educational and exam-preparation tools intended to supplement preparation for examinations, assessments, certifications, licensing examinations, admissions tests, professional qualifications, and similar evaluations.

Depending on the application, the Services may include practice questions, answer explanations, mock examinations, flashcards, study materials, study plans, progress indicators, readiness scores, motivational content, and other learning tools.

Zen Prep is a supplemental study and training tool only.

Zen Prep is not an examination provider, testing center, certification body, licensing authority, regulator, educational institution, government agency, professional association, or professional advisory service.

3. Eligibility

You must have the legal capacity required under applicable law to enter into these Terms.

If you have not reached the age at which you may independently enter into a binding agreement in your jurisdiction, you may use the Services only with the involvement, consent, or authorization of a parent or legal guardian where required by law.

4. Exam Preparation Disclaimer

Zen Prep is intended to supplement, not replace, appropriate preparation and official examination information.

You should always consult the relevant official examination provider, certification body, licensing authority, regulator, or other responsible organization for current information concerning matters such as:

  • examination content and objectives;

  • eligibility and registration;

  • examination dates and locations;

  • testing rules;

  • permitted materials;

  • fees;

  • scoring;

  • passing requirements;

  • licensing or certification requirements; and

  • changes to an examination.

Examinations, syllabi, laws, regulations, professional standards, testing formats, scoring systems, policies, and official requirements may change at any time.

Although we may take reasonable measures intended to provide useful and accurate study materials, errors can and may occur.

To the fullest extent permitted by applicable law, we do not represent, warrant, or guarantee that any question, answer, explanation, flashcard, mock examination, recommendation, study material, score, readiness indicator, statistic, or other educational content is:

  • completely accurate;

  • complete;

  • current;

  • error-free;

  • consistent with every authoritative source or interpretation;

  • identical or substantially similar to content appearing on an actual examination; or

  • sufficient by itself to prepare you for an examination.

Our content may contain errors, omissions, outdated information, simplifications, differing terminology, differing interpretations, or other inaccuracies.

You should not rely on Zen Prep as your sole source of preparation or your sole source of information regarding an examination or its requirements.

We may correct, revise, replace, add, or remove educational content at any time without prior notice.

5. No Guarantee of Exam Results

ZEN PREP DOES NOT GUARANTEE THAT YOU WILL PASS ANY EXAMINATION OR ACHIEVE ANY PARTICULAR RESULT.

We do not guarantee that using the Services will result in:

  • a passing score;

  • any particular score;

  • certification or licensing;

  • admission;

  • academic credit;

  • professional qualification;

  • employment;

  • promotion;

  • increased earnings; or

  • any other academic, professional, financial, or career outcome.

Purchasing a subscription, completing available materials, obtaining a high practice score, following a study plan, or receiving a high readiness indicator does not guarantee success on an actual examination.

Practice scores, readiness percentages, progress measures, predictions, and similar indicators are educational tools only. They are not official scores or guarantees of actual examination performance.

Your results depend on numerous factors outside our control, including your knowledge, preparation, individual circumstances, examination conditions, official examination content, changes to the examination, scoring procedures, eligibility, and performance on examination day.

You are responsible for determining what preparation is appropriate for you and whether additional official materials, books, courses, tutors, instructors, or other resources should be used.

6. Exam Anxiety, Motivation, and Well-Being

Certain Zen Prep applications may be designed to provide a calmer, more encouraging, or less stressful study experience through features such as visual design, study structure, motivational messages, quotations, progress indicators, or similar features.

We may describe such features as being intended to help users feel more confident, motivated, calm, prepared, or less anxious about an examination.

These statements describe the intended educational experience and do not constitute a medical, psychological, therapeutic, or clinical claim or guarantee.

Individual experiences vary. We do not guarantee that using Zen Prep will reduce anxiety, stress, nervousness, or any other emotional or psychological state.

Zen Prep is not a mental-health service and is not intended to diagnose, prevent, treat, cure, or manage anxiety disorders, stress disorders, or any medical or psychological condition.

If you are experiencing significant or persistent anxiety, distress, or another mental-health concern, you should seek appropriate assistance from a qualified professional.

7. No Real-World Professional or Safety-Critical Use

Where the Services contain medical, clinical, pharmacological, legal, financial, technical, engineering, cybersecurity, occupational, safety, emergency, or other professional subject matter, that content is provided solely for educational and exam-preparation purposes.

Such content is not professional advice, clinical guidance, a clinical or drug reference, legal advice, financial advice, engineering guidance, safety guidance, or a professional decision-support system.

You must not rely upon Zen Prep content to make or inform real-world decisions affecting the health, diagnosis, treatment, medication, legal rights, finances, safety, security, property, professional responsibilities, or well-being of any person or organization.

Educational materials may be simplified for examination purposes, may reflect examination conventions rather than real-world professional practice, may become outdated, and may differ from standards, protocols, laws, or practices applicable in a particular jurisdiction or institution.

Always consult current authoritative sources and appropriately qualified professionals before making real-world professional or safety-critical decisions.

8. No Affiliation or Endorsement

Unless expressly stated otherwise, Zen Prep is independent and is not affiliated with, endorsed by, sponsored by, approved by, authorized by, or associated with any examination provider, testing organization, testing center, certification body, licensing board, professional association, educational institution, government authority, or regulator.

References to examinations, certifications, organizations, professional credentials, trademarks, or third-party names are used solely to identify the examination, qualification, or subject matter for which our independently developed preparation materials are intended.

Third-party trademarks, service marks, certification marks, names, and logos remain the property of their respective owners.

Their use does not imply affiliation, endorsement, sponsorship, authorization, approval, or partnership.

Unless expressly stated otherwise, Zen Prep materials are independently developed educational materials and are not official examination questions or official examination-preparation materials.

9. Intellectual Property, License, and Prohibited Use

The Services and their contents are protected, as applicable, by copyright, trademark, database, trade-secret, contractual, and other intellectual-property and proprietary-rights laws.

Zen Prep or its licensors own or control all applicable rights in the Services and their contents, including practice questions, answers, explanations, flashcards, mock examinations, study materials, question banks, databases, compilations, selection and arrangement of content, graphics, interfaces, software, functionality, designs, trademarks, logos, and branding.

Your purchase or subscription gives you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to use the applicable Services for your personal, non-commercial study purposes only.

It does not transfer ownership of any content or intellectual property to you.

Without our prior written permission, you may not:

  • reproduce or systematically copy our questions, answers, explanations, flashcards, or other materials;

  • systematically capture screenshots, recordings, photographs, or screen recordings of our content;

  • extract, archive, harvest, compile, or create a separate database from our content;

  • publish, distribute, transmit, sell, resell, sublicense, rent, or commercially exploit our materials;

  • upload substantial portions of our content to websites, forums, social networks, messaging groups, file-sharing platforms, or question banks;

  • use our content to create, populate, improve, or support a competing product or service;

  • scrape, crawl, spider, mine, index, or otherwise automatically extract our content;

  • use bots, scripts, or automated systems to obtain our content;

  • use Zen Prep content to train, fine-tune, ground, benchmark, evaluate, develop, or improve artificial-intelligence or machine-learning systems;

  • circumvent subscription restrictions, security controls, access controls, rate limits, or technological protection measures;

  • reverse engineer, decompile, or disassemble our software except where applicable law expressly grants a non-waivable right to do so; or

  • assist another person or entity in doing any of the foregoing.

Systematic extraction or reproduction is prohibited regardless of whether it is performed manually, automatically, through screenshots, scraping, artificial intelligence, or another method.

The fact that an individual fact, phrase, question, data element, or other component may not independently qualify for copyright protection does not grant permission to extract, compile, reproduce, redistribute, or commercially exploit Zen Prep content contrary to these Terms.

Unauthorized copying, extraction, scraping, or commercial exploitation may cause irreparable harm. To the fullest extent permitted by law, Zen Prep may seek damages and temporary, preliminary, permanent, or other injunctive or equitable relief.

Text and Data Mining

To the fullest extent permitted by applicable law, Zen Prep expressly reserves all rights concerning text and data mining, including rights that may be reserved under Article 4(3) of Directive (EU) 2019/790 and corresponding or successor laws.

Without our prior written permission, Zen Prep content may not be used for text or data mining, dataset or corpus creation, automated extraction, AI training, fine-tuning, grounding, benchmarking, model evaluation, or development or improvement of artificial-intelligence systems.

All rights not expressly granted are reserved.

10. Exam Security and Academic Integrity

You may not use the Services to cheat, obtain unauthorized examination assistance, violate testing rules, circumvent examination-security procedures, reproduce confidential examination content, or obtain or distribute leaked, stolen, recalled, restricted, or unlawfully obtained actual examination questions.

Do not submit confidential, recalled, leaked, stolen, or otherwise restricted actual examination content to Zen Prep.

If you submit material to us, you represent that you have the lawful right to provide it.

11. Subscriptions, Free Trials, and Billing

Certain Zen Prep applications offer premium functionality through auto-renewable subscriptions purchased through the Apple App Store.

Before confirming a subscription, Apple's purchase interface will display applicable information such as the billed amount, currency, billing period, free-trial or introductory-offer duration, and renewal terms.

The subscription terms presented by Apple for your specific transaction control with respect to price, billing interval, trial duration, and introductory offer.

Auto-renewable subscriptions continue and renew automatically until cancelled in accordance with the applicable Apple terms.

We may offer free trials, introductory pricing, or other promotions. Eligibility may vary by application, Apple account, territory, storefront, promotion, or prior use of an offer.

When a free trial ends, it may automatically convert into a paid subscription unless cancelled within the applicable deadline.

To avoid being charged, you must cancel through Apple within the cancellation deadline applicable to your subscription.

You may manage or cancel subscriptions through your Apple account subscription settings.

Deleting or uninstalling a Zen Prep application does not cancel an active subscription.

Subscription prices, plans, and promotions may change from time to time subject to Apple's requirements and applicable law.

Refund requests for App Store purchases are generally administered by Apple under Apple's policies and applicable law. Because Apple processes App Store payments, Zen Prep does not receive your complete payment-card or banking credentials and generally cannot directly reverse an Apple charge.

12. Apple App Store

Zen Prep iOS applications are distributed through the Apple App Store.

Applications are licensed, not sold.

Unless a Custom EULA is expressly provided for a particular application, your license to the application is also subject to Apple's applicable Standard Licensed Application End User License Agreement and other applicable Apple terms.

Apple's terms control matters specific to Apple's App Store, payment systems, Apple accounts, subscription-management systems, and usage rules.

13. Availability, Updates, and Compatibility

We may develop, modify, correct, update, redesign, replace, suspend, or discontinue Services, features, educational content, examinations, or functionality from time to time.

We do not guarantee that any particular question, feature, design, study tool, examination, or body of content will remain available indefinitely.

You are responsible for obtaining and maintaining compatible hardware, software, internet connectivity, and any third-party services required to use the Services.

We do not guarantee continued compatibility with every device, operating-system version, network, or third-party platform.

We do not guarantee that the Services will be continuously available, uninterrupted, secure, or error-free.

14. Feedback and Communications

You may voluntarily submit feedback, corrections, error reports, suggestions, or ideas.

By doing so, to the fullest extent permitted by law, you grant Zen Prep a worldwide, non-exclusive, royalty-free license to use, reproduce, analyze, adapt, modify, and incorporate that feedback for purposes of operating, correcting, maintaining, developing, and improving Zen Prep and related or successor Services.

You represent that you have the lawful right to provide anything you submit.

Personal information contained in communications is handled in accordance with our Privacy Policy.

By communicating with us electronically, you agree, to the extent permitted by applicable law, that notices, disclosures, responses, agreements, and other communications may be provided electronically and satisfy requirements that such communications be in writing.

15. Suspension and Termination

To the fullest extent permitted by law, we may suspend, restrict, or terminate access to some or all of the Services where we reasonably determine that:

  • you violated these Terms;

  • you unlawfully copied or extracted our content;

  • you circumvented access or security controls;

  • your activity poses a security or operational risk;

  • your activity may expose Zen Prep or another person to liability;

  • your activity appears fraudulent or abusive;

  • you infringed intellectual-property rights; or

  • suspension or termination is reasonably necessary for technical, legal, regulatory, or security reasons.

16. Third-Party Services

The Services may reference, interact with, or link to third-party websites, examination providers, official publications, platforms, or services.

Third parties operate independently from Zen Prep.

A reference or link does not constitute endorsement, sponsorship, authorization, partnership, or affiliation.

To the fullest extent permitted by law, we are not responsible for independent third-party services, including their content, accuracy, availability, security, policies, or practices.

17. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

ZEN PREP EXPRESSLY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, GUARANTEES, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, SECURITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

Without limiting the foregoing, we do not warrant or guarantee that:

  • educational content is free from errors;

  • every answer reflects every possible interpretation;

  • all potentially tested material is covered;

  • Zen Prep content exactly corresponds to an official examination blueprint;

  • any Zen Prep question will appear on an actual examination;

  • examination requirements will remain unchanged;

  • practice performance predicts actual examination performance;

  • every content or technical error will be corrected; or

  • use of the Services will produce a particular examination, academic, professional, psychological, or financial outcome.

No statement, advertisement, description, explanation, customer-support response, email, motivational message, or other communication creates a warranty, guarantee, or promise unless expressly identified by Zen Prep as a legally binding written guarantee.

18. LIMITATION OF LIABILITY AND TIME LIMIT FOR CLAIMS

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ZEN PREP AND THE COMPANY OPERATING ZEN PREP SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, CONSEQUENTIAL, OR SIMILAR DAMAGES OR LOSSES, WHETHER OR NOT FORESEEABLE.

Without limitation, this includes losses or claims arising from:

  • failing an examination;

  • receiving a lower score than expected;

  • examination or retake fees;

  • missed examinations;

  • travel or accommodation expenses;

  • inaccurate, incomplete, ambiguous, or outdated educational content;

  • reliance on questions, answers, explanations, recommendations, scores, or readiness indicators;

  • real-world professional or safety-critical use of educational content;

  • anxiety, stress, disappointment, or dissatisfaction relating to examination preparation or performance;

  • failure to obtain certification, licensing, admission, employment, or promotion;

  • loss of income, profits, revenue, business, data, opportunities, or anticipated benefits; or

  • decisions made by examination providers, regulators, employers, educational institutions, licensing authorities, governments, or other third parties.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF ZEN PREP AND THE COMPANY OPERATING ZEN PREP, WHETHER ARISING IN CONTRACT, TORT, NEGLIGENCE, STATUTE, MISREPRESENTATION, STRICT LIABILITY, OR ANY OTHER THEORY, SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU FOR THE APPLICABLE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

If you paid nothing for the applicable Service, our monetary liability will be zero to the fullest extent permitted by law.

Nothing in these Terms excludes liability that applicable law expressly prohibits us from excluding.

One-Year Contractual Limitation Period

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM, ACTION, OR PROCEEDING ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CLAIM FIRST ACCRUES, OR THE CLAIM WILL BE PERMANENTLY BARRED.

Where applicable law prohibits contractual shortening of the applicable limitation period, the shortest limitation period that may lawfully be applied will govern instead.

19. United States Dispute Resolution — Binding Individual Arbitration

THIS SECTION APPLIES TO USERS LOCATED IN THE UNITED STATES.

YOU AND ZEN PREP AGREE THAT MOST DISPUTES WILL BE RESOLVED THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT. YOU ALSO WAIVE RIGHTS TO PARTICIPATE IN CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDINGS AND, FOR CLAIMS PROCEEDING IN COURT, TO A JURY TRIAL, TO THE FULLEST EXTENT PERMITTED BY LAW.

19.1 Informal Resolution First

Before starting arbitration, the party asserting a dispute must send an individualized written Notice of Dispute.

Notices to Zen Prep must be sent to contact@zenprepapp.com and include sufficient information to identify the claimant, the relevant Zen Prep Service, the nature of the dispute, and the relief requested.

The parties will attempt in good faith to resolve the dispute for 60 days following receipt of a compliant notice.

19.2 Agreement to Arbitrate

Except for the exceptions below, any dispute, claim, or controversy arising out of or relating to the Services, these Terms, subscriptions, purchases, free trials, advertising, representations, educational content, or your relationship with Zen Prep will be resolved through binding individual arbitration.

This arbitration agreement is governed by the Federal Arbitration Act (“FAA”).

Arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules in effect when the arbitration begins.

19.3 Individual Proceedings Only — Class Action Waiver

YOU AND ZEN PREP AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY.

To the fullest extent permitted by law:

  • no claim may be brought or resolved as a class action;

  • no claim may be brought as a collective or representative proceeding;

  • claims of different users may not be consolidated for a joint merits proceeding without mutual written agreement; and

  • an arbitrator may award relief only to the individual claimant and only to the extent necessary to resolve that claimant's individual dispute.

THE PARTIES DO NOT CONSENT TO CLASS ARBITRATION.

If the class-action waiver is finally held unenforceable as to a particular claim, the class or representative portion of that claim will proceed in court rather than in class arbitration unless the parties expressly agree otherwise.

19.4 Mass Arbitration

If 25 or more substantially similar arbitration demands are submitted against Zen Prep by or with the coordination of the same law firm, organization, or coordinated group within a 180-day period, applicable AAA mass-arbitration procedures may apply.

Each claimant must individually satisfy the informal-dispute requirement above.

Nothing in this provision authorizes class arbitration or permits consolidation of individual claims into a single merits proceeding without Zen Prep's written consent.

19.5 Small Claims

Either party may bring an eligible individual dispute in small claims court instead of arbitration where the claim remains within that court's jurisdiction.

19.6 Intellectual Property and Emergency Relief

Notwithstanding this arbitration agreement, Zen Prep may seek temporary, preliminary, emergency, permanent, or other injunctive or equitable relief in a court of competent jurisdiction where reasonably necessary to prevent or stop:

  • unauthorized copying;

  • scraping;

  • database extraction;

  • theft or misuse of content;

  • infringement or misappropriation of intellectual property;

  • circumvention of access or security measures; or

  • unauthorized AI training, text mining, or data mining.

Seeking such relief does not waive arbitration of remaining claims.

19.7 Arbitration Fees and Format

Arbitration fees will be allocated according to applicable AAA consumer rules and applicable law.

Arbitration may be conducted remotely, through written submissions, or at another location permitted under applicable rules.

19.8 Arbitration Opt-Out

You may opt out of this arbitration agreement by emailing contact@zenprepapp.com within 30 days after you first accept these Terms.

The subject or message must clearly state:

“I opt out of the Zen Prep Arbitration Agreement.”

The notice must include sufficient information for us reasonably to identify you.

Opting out of arbitration does not opt you out of the remainder of these Terms.

19.9 Jury Trial Waiver

For any dispute that proceeds in court rather than arbitration:

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND ZEN PREP KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY.

19.10 Arbitration Severability

If a provision of this arbitration agreement is unenforceable, it will be severed to the minimum extent necessary and the remainder will continue in effect, except as specifically provided above concerning the class-action waiver.

20. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Zen Prep, the company operating Zen Prep, and their directors, officers, employees, contractors, licensors, service providers, successors, and affiliates from claims, proceedings, damages, liabilities, fines, penalties, losses, costs, and reasonable legal fees arising out of or relating to:

  • your unlawful use of the Services;

  • your material breach of these Terms;

  • unauthorized copying, extraction, or distribution of Zen Prep content;

  • infringement or misappropriation of intellectual-property or proprietary rights;

  • circumvention of access or security measures;

  • unlawful material submitted by you;

  • violations of examination-security obligations; or

  • your violation of applicable law or third-party rights.

This Section applies only to the extent enforceable under applicable law.

21. Mandatory Consumer Rights

Nothing in these Terms is intended to exclude, restrict, waive, or modify a consumer right, statutory guarantee, remedy, or protection that applicable law does not permit to be excluded, restricted, waived, or modified.

Consumers in the European Economic Area retain mandatory rights under applicable EU and national consumer law, including applicable protections relating to digital content and digital services.

Consumers in the United Kingdom retain mandatory rights under applicable UK consumer law.

Nothing in these Terms excludes or restricts rights or consumer guarantees under the Australian Consumer Law that cannot lawfully be excluded or restricted.

Consumers in Canada retain mandatory rights available under applicable federal, provincial, and territorial consumer laws.

Where mandatory law applicable to you conflicts with these Terms, the mandatory law prevails only to the extent of that conflict.

The invalidity or unenforceability of a provision in one jurisdiction does not affect its validity or enforceability in another jurisdiction.

22. Company Information and Contact

Zen Prep is operated by PDG APPS S.R.L., a limited liability company organized and existing under the laws of Romania.

Registered office: Str Zorilor 2, Ghiroda, Timiș, Romania, Company registration no.: J2021001262358, Fiscal registration no.: 43979094. For support, legal inquiries, complaints, or questions regarding these Terms: contact@zenprepapp.com

23. General Legal Terms

Governing Law

Except where the U.S. arbitration provisions above apply, these Terms are governed by the laws of Romania, without regard to conflict-of-law principles.

If you are a consumer, this choice of law does not deprive you of mandatory protections that applicable law does not permit you to waive.

Force Majeure

To the fullest extent permitted by law, Zen Prep is not liable for delays, interruptions, failures, or unavailability resulting from circumstances reasonably outside our control, including App Store outages, hosting failures, internet or telecommunications failures, cybersecurity incidents, third-party outages, governmental actions, changes by examination providers, changes to laws or official examination requirements, natural disasters, war, terrorism, civil unrest, labor disputes, or similar events.

Severability

If any provision of these Terms is invalid or unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will continue in effect.

No Waiver

Failure or delay in enforcing a right does not waive that right.

Assignment

You may not assign your rights or obligations under these Terms without our prior written consent except where applicable law provides otherwise.

We may transfer our rights and obligations in connection with a merger, acquisition, restructuring, financing, sale of assets, change of control, or similar transaction.

No Partnership or Agency

Nothing in these Terms creates a partnership, joint venture, agency, employment, fiduciary, franchise, or similar relationship between you and Zen Prep.

Survival

Provisions concerning intellectual property, prohibited use, exam disclaimers, professional-use disclaimers, warranties, liability, indemnification, claim limitations, arbitration, class-action waivers, governing law, and other provisions that by their nature should survive will survive termination or cessation of use.

Entire Agreement

These Terms, together with our Privacy Policy, specific purchase information presented before a transaction, and applicable Apple terms constitute the agreement governing the matters they address.

Where specific subscription information displayed through Apple's purchase process conflicts with these Terms regarding price, billing interval, trial duration, or an introductory offer, the specific terms displayed for that transaction control.

English Version

These Terms may be translated into other languages.

To the fullest extent permitted by applicable law, the English-language version will control in the event of an inconsistency between translations.

24. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Services, our business, technology, applicable law, regulations, or our legal or operational practices.

When we update these Terms, we will revise the Last Updated date.

Where applicable law requires advance notice, affirmative acceptance, cancellation rights, or another measure before a material change becomes binding, we will comply with that requirement.

Your continued use of the Services following an update constitutes acceptance of the revised Terms to the fullest extent permitted by applicable law.
